Collaborator Terms & Conditions
As a Good Elephant Collaborator, by checking the box in the Good Elephant Membership Application and upon approval of your Membership, you agree to the following:
During the course of a Collaborator’s time with Good Elephant, the Collaborator will encounter Confidential Information belonging to Good Elephant. Collaborator agrees not to disclose said Confidential Information to third parties under any circumstances except as allowed by the terms of this agreement. In order to protect the privacy of Good Elephant, and protect Good Elephant from negligent or malicious actions of the Collaborator during their time with Good Elephant and beyond, the Collaborator hereby agrees not to divulge, release or remove for his/her use (or that of any other individual or company) any documentation, information, or knowledge pertaining to the operation or business of Good Elephant or any of it subsidiaries or affiliates.
Furthermore, Good Elephant and The Collaborator agree as follows:
Confidential Information Excludes that which is public knowledge.
Collaborator shall not copy or modify any Confidential Information without prior written consent of Good Elephant.
Collaborator agrees to the following fee structure:
Attendees pay a $2 service fee per transaction made through the Good Elephant platform. Each event’s advertised Suggested Price includes the $2 Service Fee, which is added to the collaborator’s desired earnings per attendee per event, as specified in each event’s settings.
The minimum amount for any card transaction through the Good Elephant app or website is $4.
Any attendee can choose to attend an event for free by choosing Other Payment Options > Try it for Free when signing up for an event.
Collaborator agrees to receive payouts from the Elephant Fund, and that payouts from the Fund are dependent on the following conditions:
Each attendee must choose to accept assistance when signing up for an event under the “Try it for Free” option
If the total amount in the Fund does not exceed the payment amount at the time of the attendee’s signup, assistance will not be offered to the attendee.
Funds are disbursed on a first come, first served basis
Each payout for an event is equal to the collaborator’s desired earnings per attendee within that particular event’s settings, up to and not exceeding $8 per attendee per event.
Good Elephant will remit all remaining Class Revenue to Collaborator through the Stripe account linked in Collaborator’s Good Elephant Dashboard within 36 hours. Collaborator grants Good Elephant, Inc all rights to Collaborator’s share of Class Revenue in the event that Collaborator does not connect a valid bank account either (a) within a reasonable amount of time, or (b) before cancelation of Collaborator’s Good Elephant membership. Good Elephant’s Technology/Space fee is subject to change based on individual Space Partnerships. Class Revenue is collected from students through Good Elephant’s online booking system, app, or drop-in cash payment collected by Collaborator, and is calculated after merchant and credit card fees have been subtracted. Good Elephant deposits calculated amount directly into account on file with the account provided by the Collaborator.
Collaborator agrees to the free and pay-what-you-can payment structure set forth by Good Elephant: for Pay-What-You-Can classes, Attendees that attend an event on the Good Elephant platform will have the opportunity to choose their payment amount for the class; the Suggested Price is set by the Collaborator. Collaborator agrees not to attempt to influence any Attendees payment amount in any way, beyond teaching a high-quality class and providing a welcoming atmosphere and experience for Attendees in person or online.
DISCOUNTS & COUPONS
By agreeing to these terms, Collaborator agrees to comply with any and all discounts and coupons Good Elephant may advertise. Good Elephant agrees only to promote discounts and coupons with the best interest of Collaborators and Spaces at heart.
Good Elephant provides Collaborator a month to month membership that includes but is not limited to marketing and promotion; recruitment of new Locations; website, app, and booking system; etc.
In collaboration with Good Elephant and its Space partners, Collaborator agrees to the following, and acknowledges that each Space has agreed to the following:
Collaborator and Space will, to the best of their abilities, provide students with experiences that align with Good Elephant’s mission to be welcoming, friendly and professional.
Collaborator and Space will promote the class to the best of their abilities, including but not limited to community participation, word of mouth, social media outreach, displaying flyers curated by Good Elephant, etc. Good Elephant does not guarantee student attendance without the full participation of the Collaborator in class promotion.
Collaborator will provide experiences that match the class descriptions approved by Good Elephant and Space outlined in each Event Description. Collaborator is responsible for submitting a change of class description if the current description no longer accurately describes the experience provided.
Guide Membership Fees
- The credit card holder’s account is automatically charged on the same date as the original transaction date on each corresponding month or on the final date of the month if no corresponding date (January 31, 2021, subscription renews on February 28, 2021).
- Discounts, rebates, or other special offers only valid for the initial term; subscriptions renew at the then-current full subscription rates.
- Good Elephant may terminate the subscription and these terms if it is unable to renew the subscription based on inaccurate or outdated credit card information.
- The right of access granted under these Terms is effective only upon payment of the subscription fees.
Canceling Guide Membership
- Guides can cancel their subscription from the Account Tab in their Dashboard.
- The only valid method for canceling your membership is via the cancellation link provided on your user “dashboard” page, accessible after logging in to the Good Elephant Dashboard. Requests to cancel by e-mail or phone are not considered and do not accomplish cancellation.
- Once you cancel your membership subscription, you will not lose access immediately. Your membership will continue through the end of your current charge cycle. For example: If your credit card is charged on the 10th of the month and you cancel on April 25th, you will not lose access until May 10th.
Guide Membership Refunds
Subscription fees are non-refundable, except that you may cancel a renewed subscription by contacting Good Elephant within seven (7) calendar days after the renewal date and receive a full refund of the new subscription fees.
Email and Communication Terms
Collaborator agrees not to use emails downloaded from the Good Elephant dashboard to promote anything unrelated to Collaborator’s offerings on the Good Elephant platform. Collaborator also agrees not to sell or distribute emails downloaded from the Good Elephant dashboard.
I release Good Elephant from all responsibility for attendance and revenue outcomes at any event I facilitate. I understand and acknowledge that in addition to Good Elephant promoting my events, it is also my responsibility to put time and energy into growing my attendance numbers and retaining my students.
Good Elephant has the right to terminate any of Collaborator’s events for any of the following reasons:
Good Elephant receives enough negative feedback from attendees to damage Good Elephant’s reputation
Collaborator is absent from a scheduled event without canceling or notifying Good Elephant or Signed-up Attendees
EQUIPMENT & EXPENSES
Good Elephant will not require Collaborator to rent or purchase any equipment, product, or service as a condition of entering into this Agreement. Good Elephant will do their best to provide each Location with free yoga mats (upon request). If Collaborator chooses to teach a class in such a way that requires any additional props, Collaborator is responsible for providing those props.
Collaborator and Location are responsible for all expenses incurred while performing services under this Agreement. This includes travel expenses; vehicle maintenance and repair costs; insurance premiums; fines; cell phone expenses; and meals.
Collaborator and Space Contact will have complete responsibility for clearing and cleaning the Host Space. Proper cleaning and clearing will be discussed and agreed upon by Space Contact and Collaborator prior to the first class. Good Elephant will not be held responsible for clearing and cleaning any class space.
Partner Spaces will make their space available at least 15 minutes before the Start Time specified in each Class Request, and the space will remain available to the Collaborator until 15 minutes longer than the event duration.
Collaborator will be present at Space at least 15 minutes before the Start Time, and present for online classes at least 5 minutes before Start Time.
If an in-person event has no attendees, Collaborator agrees to wait until 15 minutes after the Start Time before leaving the Host Space.
If an online event has no attendees, Collaborator agrees to wait until 15 minutes after the Start Time before ending the Zoom meeting OR cancel the event to avoid last-minute signups if Collaborator chooses to end the Zoom meeting within less than 15 minutes of the Start Time.
Collaborator will begin and end class as close as possible to the Start Time and End Time specified in each Class Request. We ask the Collaborator to respect the time slot made available by the Space, and also to respect the time of the students.
Collaborator will check in every student who attends class on the Good Elephant app, whether or not they’ve signed up in advance.
Collaborator will submit a Class Report through the Good Elephant app for each event they facilitate, truthfully and accurately reporting class attendance and the amount of cash collected.
If Collaborator offers classes that involve bodily movement or the use of any kind of tools or props, Collaborator will be prepared to provide proof of current, appropriate Insurance at any time after the Start Date specified for each applicable event. Good Elephant is not responsible for insuring individual Collaborators, although Good Elephant’s insurance covers damage up to $2 million at any location where classes are held, as well as any classes offered online.
SUBS AND CANCELLATIONS
Collaborator agrees not to create a new event on the Good Elephant platform, unless Collaborator intends to be present for each instance within the first 2 months after the agreed-upon Start Date of each ongoing event at a Good Elephant Host Space. This includes one-time, bi-weekly, weekly, and monthly events. With the exception of the emergency circumstances outlined below, if Collaborator is absent or cancels multiple instances at the last minute within this 2-month time period, Good Elephant reserves the right to terminate the ongoing event and Collaborator may be subject to discontinuation as a Good Elephant Teacher Member.
Collaborators are responsible for finding an appropriate replacement at least two weeks prior to each event instance and, in the case the collaborator can not be present at the event or secure a substitute facilitator, it is the Collaborator’s responsibility to cancel the event at least one week ahead of time in the Good Elephant dashboard. In the case of a no-call-no-show, or excessive cancellations after the one week window, collaborator may be subject to discontinuation of their Membership. By agreeing to these terms and conditions, the Collaborator assumes responsibility for the quality and success of each event the Collaborator creates and the reputation of Good Elephant and its other Collaborators depend on each Collaborator’s commitment, preparation, and event quality.
In the case of an emergency, please call Allison Reitz at 618.334.0071 or Jenna Fortuna at 209.331.6889 and leave a detailed message notifying us that you will be absent. Good Elephant reserves the right to terminate a repeating event if Collaborator has not provided documented evidence of an emergency before the end of the day of the event, whether in an email, text message or voicemail.
Examples of emergencies affecting a Collaborator that warrant absence from an active, un-cancelled class include:
Hospitalization, contagious illness, or intensive medical care
Death or critical illness in the family
Home fire or natural disaster
The following issues affecting Collaborator are not considered emergencies, and absence from class for these reasons is not considered appropriate. Collaborators affected by these issues are responsible for securing a sub, and Space Contacts affected by these issues will still be held responsible for making their space available at the time specified in this agreement:
Work-related stress or poor time management
Minor, non-contagious short-term illness, headaches, and allergies (e.g. cold, sore throat)
Weddings and graduations
Job or graduate school interviews
Traffic – please plan accordingly!
Household issues, including pet and child care
Collaborator acknowledges that cancellations and subs have proven to negatively affect attendance for a specific class and risk damaging the overall reputation and viability of Good Elephant and its Collaborators. Therefore, Good Elephant reserves the right to terminate this agreement and rescind all efforts to promote a class after repeated class cancellations or Collaborator absences related to the above issues.
GOOD ELEPHANT’S RESPONSIBILITIES
In collaboration with Collaborators and Spaces, Good Elephant agrees to the following:
Good Elephant will promote its overall presence in your city, including but not limited to email newsletters, website maintenance, social media, spreading flyers, local events, word of mouth, etc.
Good Elephant will keep software and social media up to date, so that events are available for students to sign up and pay within a reasonable amount of time.
Good Elephant will facilitate initial contact between Collaborator and Space. After initial contact, Collaborator and Space will be responsible for keeping in touch with each other.
In the event of an emergency cancellation, Good Elephant will notify attendees who have signed up.
Good Elephant will distribute funds to Collaborators on time within the time frame specified in this Agreement.
Good Elephant will provide technical support for Collaborators and Attendees.
ANTI-HARASSMENT POLICY STATEMENT
Good Elephant is committed to maintaining a safe environment that is courteous, respectful and free from harassing behaviors for its Collaborators, students, spaces, volunteers, and visitors. Good Elephant will not tolerate harassment of any kind.
Unlawful harassment is defined as any unwelcome verbal, non-verbal, or physical conduct based on race, color, religion, sex (including pregnancy and gender identity), national origin, age (40 or older), disability (mental or physical), genetic information, sexual orientation, marital status, political affiliation, status as a parent, or retaliation when:
A person actually suffers a personal loss or harm with regard to a term, privilege, or condition of collaboration relating to any of the protected bases; or
The behavior can reasonably be considered severe or pervasive creating an intimidating, hostile, or offensive environment.
Harassment undermines the integrity of the relationship and interferes with productivity. Harassing conduct includes, but is not limited to: bullying, slurs, derogatory or disrespectful remarks, spreading rumors, swearing, jokes, obscenities, incessant teasing, expressing or insinuating threats, threatened assault, hitting, punching, other unwanted touching, and malicious or insulting gestures.
Good Elephant has taken appropriate measures to prevent harassment (sexual or non-sexual) in the environment in which an event is occurring and to correct harassing behavior before it becomes severe or pervasive. Harassing behavior by a Good Elephant collaborator does not need to rise to the level of unlawful harassment in order for it to constitute misconduct. Violations of policy may result in administrative or disciplinary actions against offenders.
Sexual harassment is a form of sex discrimination that involves unwelcome sexual advances, requests for sexual favors, and other verbal or physical conduct of a sexual nature when:
Submission to or rejection of such conduct is made either explicitly or implicitly a term or condition of a person’s job, pay or career, or
Submission to or rejection of such conduct by a person is used as a basis for career or employment decisions affecting that person, or
Such conduct interferes with an individual’s work performance or creates an intimidating, hostile or offensive environment.
Such conduct creates an uncomfortable environment for event collaborators or participants
